These Terms of Service (“Terms”) govern your access to and use of the AgentLocus website at agentlocus.com(the “Site”) and the AgentLocus producer management platform (the “Service”), operated by Agent Locus Inc (“Agent Locus,” “We,” “Our,” or “Us”). By accessing the Site or using the Service you agree to these Terms.
1.Acceptance of Terms
If you do not agree with any part of these Terms, do not use the Site or the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2.The Service
AgentLocus is a configurable producer management platform for producer onboarding, license applications and renewals, appointment management, compensation tracking, continuing education, compliance and audit, and related producer-lifecycle workflows for insurance carriers, MGAs, agencies, and producers. Access to the Service is governed by a separate subscription or master services agreement between Agent Locus and your organization. These Terms supplement, and do not replace, that agreement.
3.Accounts
When you register for an account on the Service, you agree to provide accurate information, keep your credentials secure, and notify us promptly of any unauthorized access. You are responsible for all activity that occurs under your account.
4.Acceptable Use
You agree not to:
- Use the Site or Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload content you do not have the right to share, or that is infringing, defamatory, or unlawful;
- Attempt to gain unauthorized access to any part of the Site, Service, or related systems;
- Reverse engineer, decompile, or attempt to derive source code from the Service, except as permitted by law;
- Interfere with the operation of the Site or Service, or the access or use of other users;
- Use the Service to build a competing product, or to scrape or harvest data at scale.
5.Intellectual Property
The Site, the Service, and all related software, content, designs, and trademarks are owned by Agent Locus or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal business purposes, and to use the Service in accordance with your subscription agreement. All other rights are reserved.
6.Customer Data
You retain all rights in the data your organization uploads to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to operate and improve the Service and to provide support. We act as a data processor with respect to Customer Data; details are set out in our Privacy Policy and your subscription agreement.
7.Pricing and Payment
Pricing for the Service is described on the Site at a high level and finalized in a written quote or order form. Subscriptions, fees, billing terms, renewal, and refund policy are governed by that quote or order form.
8.AI-Generated Content
The Service and Site may include AI-powered features, including the AgentLocus AI assistant. AI-generated responses and outputs are provided for informational purposes only, may contain errors or omissions, and should be reviewed by qualified personnel. AI output does not constitute legal, regulatory, or compliance advice.
9.Disclaimers
THE SITE AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE OR SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
10.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT LOCUS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU, IF ANY, TO AGENT LOCUS FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
11.Indemnification
You agree to indemnify and hold Agent Locus harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Site or Service, your violation of these Terms, or your violation of any third party right.
12.Termination
We may suspend or terminate your access to the Site or Service at any time if you breach these Terms or if continued access would pose a legal or security risk. You may stop using the Site at any time. Termination of a Service subscription is governed by the applicable subscription agreement.
13.Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
14.Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. The state and federal courts located in the State of North Carolina have exclusive jurisdiction over any disputes arising out of or relating to these Terms, subject to any contrary provision in your subscription agreement.
